AUGMANITAI Corporate Contributor License Agreement (CCLA)

Version 1.0 — Effective Date: 2026-01-01

This CCLA is modeled after the Apache Software Foundation Corporate Contributor License Agreement v2.0, adapted for the AUGMANITAI dual-licensing structure.

Thank you for your interest in contributing to the AUGMANITAI terminology project (“Project”), maintained by Andreas Ehstand (“Maintainer”). In order to clarify the intellectual property license granted with Contributions from any corporate entity to the Project, the Maintainer must have a signed Corporate Contributor License Agreement (“CCLA”) on file indicating agreement to the license terms below.

This license is for Your protection as well as the protection of the Project and its users; it does not change your rights to use your own Contributions for any other purpose.

Corporation address: ___________________

Point of Contact: ___________________

E-Mail: ___________________

You accept and agree to the following terms and conditions for Your present and future Contributions submitted to the Project. In return, the Maintainer shall not use Your Contributions in a way that is contrary to the public benefit or inconsistent with its published terminological standards as in effect at the time of the Contribution. Except for the license granted herein to the Maintainer and recipients of software and terminology data distributed by the Maintainer, You reserve all right, title, and interest in and to Your Contributions.

1. Definitions

“You” means the corporation as well as any of its subsidiaries that are at least 50% owned or controlled by the corporation.

“Contribution” means the code, documentation, terminology data, or other original works of authorship expressly identified in Schedule B, as well as any original work of authorship, including any modifications or additions to an existing work, that is intentionally submitted by You to the Maintainer for inclusion in, or documentation of, the Project.

Subject to the terms and conditions of this Agreement, You hereby grant to the Maintainer and to recipients of software and terminology data distributed by the Maintainer a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable copyright license to reproduce, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute Your Contributions and such derivative works under the Project’s dual-license structure: Apache License 2.0 for code and CC BY-NC-ND 4.0 for terminology data.

3. Grant of Patent License

Subject to the terms and conditions of this Agreement, You hereby grant to the Maintainer and to recipients of software distributed by the Maintainer a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable (except as stated in this section) patent license to make, have made, use, offer to sell, sell, import, and otherwise transfer the Project, where such license applies only to those patent claims licensable by You that are necessarily infringed by Your Contribution(s) alone or by combination of Your Contribution(s) with the Project to which such Contribution(s) was submitted. If any entity institutes patent litigation against You or any other entity alleging that Your Contribution, or the Project to which You have contributed, constitutes direct or contributory patent infringement, then any patent licenses granted to that entity under this Agreement for that Contribution or Project shall terminate as of the date such litigation is filed.

4. Designated Employees

You agree that all designated employees listed in Schedule A may submit Contributions on Your behalf. The list of designated employees may be updated from time to time by written notice to the Maintainer.

5. Representations

You represent that You are legally entitled to grant the above licenses. You represent further that each designated employee is authorized to submit Contributions on Your behalf. You represent that each of Your Contributions is Your original creation or properly attributed third-party material.

6. Warranty Disclaimer

Unless required by applicable law or agreed to in writing, You provide Your Contributions on an “AS IS” BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, either express or implied, including, without limitation, any warranties or conditions of TITLE, NON-INFRINGEMENT, MERCHANTABILITY, or FITNESS FOR A PARTICULAR PURPOSE.

7. Notification

You agree to notify the Maintainer in writing of any facts or circumstances of which You later become aware that would make any of Your representations inaccurate in any respect.
